Terms of Service

These Terms of Service ("Terms") govern the purchase and use of services provided by ProWayz ("ProWayz", "we", "us" or "our").

ProWayz provides website design, website hosting, website maintenance, marketing systems, lead-management systems, reputation-management services and related digital services primarily to contractor and home-service businesses.

By purchasing a ProWayz subscription, using our services, or otherwise agreeing to these Terms, the customer ("Client", "you" or "your") agrees to be bound by these Terms.

ProWayz provides subscription-based website and marketing services.

Our current plans include:

The exact scope and availability of individual features may depend on third-party platforms, integrations, account access and technical compatibility.

ProWayz services are provided on a recurring monthly subscription basis.

The Client authorises ProWayz and its payment processor to charge the payment method supplied at checkout for the applicable subscription amount each month until cancelled.

Current subscription prices are:

• Contractors Essentials System — US$197/month
• Contractors Professional System — US$297/month
• Contractors Premium System — US$397/month

Unless separately agreed in writing, there is no initial setup fee.

Payments are processed using third-party payment providers such as Stripe.

Subscriptions may be cancelled at any time and there is no minimum contractual commitment unless a separate written agreement explicitly states otherwise.

Cancellation prevents future subscription renewals but does not retrospectively cancel a billing period that has already begun.

The Client remains responsible for charges already incurred before cancellation becomes effective.

Monthly subscription payments are non-refundable once the applicable monthly service period has begun, except where a refund is required by applicable law.

Because ProWayz provides ongoing digital services, infrastructure, software access and service capacity throughout each subscription period, cancelling a subscription does not normally entitle the Client to a full or partial refund for the current billing period.

Websites created by ProWayz as part of a monthly subscription are provided as part of the Client's active ProWayz service.

Unless otherwise agreed in a separate written agreement, payment of the monthly subscription does not constitute the purchase of the underlying website, website infrastructure, templates, systems, automations or other proprietary ProWayz materials.

The Client receives the right to use the website while the applicable ProWayz subscription remains active and payments remain up to date.

If the Client cancels the subscription or the subscription is terminated for non-payment, ProWayz may suspend or take the website offline following the end of the paid service period.

The Client should therefore understand that cancelling the ProWayz subscription may result in the ProWayz-provided website and associated systems becoming unavailable.

Content, logos, photographs, trademarks and other materials originally supplied by the Client remain the Client's property.

Any transfer, purchase or continued hosting of a ProWayz-created website following cancellation must be separately agreed in writing and may be subject to an additional fee.

Where a domain name is supplied or managed as part of a ProWayz subscription, its registration, renewal, management and continued availability may depend on the applicable subscription and third-party domain provider.

Any ownership or transfer arrangements relating to a domain will depend on how that specific domain was registered and any separate agreement between ProWayz and the Client.

ProWayz does not guarantee the availability of a particular domain name.

The Client agrees to provide accurate and timely information reasonably required for ProWayz to deliver the services.

This may include:

• Business information
• Contact information
• Logos and branding
• Photographs and content
• Website information
• Google Business Profile access
• Domain access
• CRM or marketing-platform access
• Approval of website content
• Other account permissions reasonably required to provide the purchased services

The Client is responsible for ensuring that information and materials supplied to ProWayz are accurate and that the Client has the necessary rights and permissions to use them.

Delays in providing required information or access may delay delivery of services.

ProWayz may use third-party platforms and service providers to deliver parts of its services, including payment processors, CRM platforms, hosting providers, domain providers, email/SMS providers, analytics platforms, search engines and other software providers.

These services may include platforms such as Stripe, GoHighLevel and Google.

ProWayz is not responsible for outages, policy changes, suspensions, pricing changes, algorithm changes or other actions taken by independent third-party providers that are outside ProWayz's reasonable control.

ProWayz may provide systems intended to help Clients request, manage, monitor or respond to customer reviews.

Clients remain responsible for ensuring that their use of review-request systems complies with applicable laws and the policies of platforms such as Google.

ProWayz does not guarantee that customers will leave reviews, that reviews will be positive, or that any particular rating will be achieved or maintained.

Where SEO, backlink, content or Google Business Profile services are included, ProWayz will provide the applicable services using reasonable professional efforts.

However, search engines and third-party platforms control their own algorithms and rankings.

ProWayz does not guarantee:

• A particular Google ranking
• A specific increase in website traffic
• A specific number of leads
• A specific number of customers
• A particular revenue increase
• Permanent search-engine placement

ProWayz provides websites and marketing systems intended to improve the Client's ability to capture, manage and convert enquiries.

Business results depend on numerous factors outside ProWayz's control, including market conditions, location, pricing, competition, sales ability, advertising activity and the Client's own response to leads.

Accordingly, ProWayz does not guarantee any specific number of leads, appointments, jobs, customers or amount of revenue.

Some ProWayz services may involve automated email, SMS, missed-call text-back, follow-up or other communications.

The Client is responsible for using these systems lawfully and for obtaining any consent required to communicate with its customers and prospects.

The Client must not use ProWayz systems for spam, unlawful marketing or prohibited communications.

If a subscription payment fails, ProWayz or its payment provider may attempt to collect the payment again.

ProWayz may suspend access to the website, marketing systems, software or other services where payments remain overdue.

Services may remain suspended until outstanding amounts are paid.

ProWayz retains ownership of its proprietary systems, processes, templates, designs, automation structures, software configurations, reusable components and other intellectual property unless expressly transferred through a separate written agreement.

The Client retains ownership of original materials supplied by the Client.

Clients must not use ProWayz services for unlawful, fraudulent, abusive or deceptive activities.

ProWayz reserves the right to suspend or terminate services where they are being used unlawfully, in breach of third-party platform rules, or in a manner that could reasonably harm ProWayz, its infrastructure or other users.

ProWayz aims to provide reliable services but cannot guarantee uninterrupted or error-free operation.

Maintenance, third-party outages, technical problems, internet infrastructure and circumstances outside our reasonable control may occasionally affect availability.

To the maximum extent permitted by applicable law, ProWayz will not be liable for indirect or consequential losses, loss of profits, loss of business opportunities, loss of anticipated savings or losses resulting from third-party platform failures.

Nothing in these Terms excludes or limits liability where doing so would be unlawful.

ProWayz may improve, modify or replace features where reasonably necessary to maintain, improve or develop the service.

Where a material change substantially affects a Client's paid service, ProWayz will aim to provide reasonable notice where practicable.

These Terms may be updated from time to time to reflect changes to ProWayz services, applicable laws or business practices.

The latest version will be published on the ProWayz website with the applicable "Last updated" date.

These Terms are governed by the laws of England and Wales.

Any disputes will be subject to the jurisdiction of the courts of England and Wales, except where applicable law requires otherwise.
